STASHME SAS, a French simplified joint-stock company (société par actions simplifiée) registered with the Bobigny Trade and Companies Register under number 108 740 176, whose registered office is located at 3 RUE DU DOCTEUR BAUER, 93400 SAINT-OUEN-SUR-SEINE (hereinafter "STASHME"), publishes and operates a SaaS platform for the digital management of deposits and ancillary services, accessible via a web interface.
The purpose of these general terms of sale is to define the financial and commercial terms and conditions under which STASHME markets its Solution to the User, a software platform for the operational management of deposit and safekeeping activities and similar ancillary services, in particular cloakroom, left-luggage and valet parking services.
The Terms of Sale supplement STASHME's general terms of use (hereinafter the "Terms of Use"), acceptance of which is a condition for using the Solution.
The User acknowledges that subscribing to an Offer entails full and unreserved acceptance of these Terms of Sale, as well as of the Terms of Use to which it agreed when creating its Account, which it declares it has read beforehand.
"Subscription": the Offer of indefinite duration, tacitly renewed and invoiced monthly, subscribed by the User for recurring use of the Solution.
"Beneficiary": the User's end customer, that is, the natural person who uses its deposit, safekeeping or valet services and to whom the User gives access to the Solution.

"User Data": the data entered, imported or generated by means of the Solution by the User, its Authorised Persons or the Beneficiaries, as defined in the Terms of Use.
"Event Package": the Offer of fixed duration, subscribed by the User for one-off use of the Solution on the occasion of an identified event, the duration and price of which are specified on the date of subscription.

"Option": any additional paid feature or service that the User may subscribe to in addition to the Offer, in particular the sending of SMS messages.
"Authorised Person": any person, in particular employees, subcontractors and service providers, to whom the User gives access to its Account or to the Solution. The User is liable for its Authorised Persons as for itself.
"Payment Provider": SumUp or Stripe, as chosen by the User, or any other authorised payment service provider that may be added to or replace them, with which the User holds its own account.
"Site": the website accessible at stashme.io.
"Solution": the software platform developed by STASHME for the operational management of deposit, safekeeping, left-luggage and valet parking activities and ancillary services.
"User": any legal or natural person acting in a professional capacity who subscribes to an Offer and holds an Account, in order to use the Solution for its deposit, safekeeping, left-luggage, valet parking or ancillary services activity.
The purpose of these Terms of Sale is to define the financial and commercial conditions under which STASHME markets to the User access to its Solution, a software platform for the operational management of the deposit and safekeeping activities and ancillary services carried out by the User, in particular cloakroom, left-luggage and valet parking services, and more broadly any activity of the same nature that STASHME may integrate into its offering, whether such access is subscribed in the form of a Subscription or an Event Package.
They govern in particular the terms of subscription, pricing, invoicing, payment and termination of the Offer subscribed, as well as, where applicable, the conditions under which STASHME receives a Commission on payments made directly to the User through the Solution.
Where special conditions are negotiated between STASHME and the User, in particular in a Quote or a specific commercial agreement, they prevail over these Terms of Sale solely on the points they expressly govern, the Terms of Sale remaining applicable for all other matters.
The User declares that it is acting for the purposes of its professional activity and that the subscription of an Offer falls within the scope of its main activity. It therefore acknowledges that the provisions of the French Consumer Code, in particular those of article L. 221-3, do not apply to it.
It is recalled that STASHME has no involvement in the deposit and safekeeping activity and ancillary services carried out by the User, nor in its relationship with the Beneficiaries.
The conditions of access to and use of the Solution, in particular the terms for creating the Account and the rules of use applicable to the User and to the Beneficiaries, are governed by the Terms of Use, which must be accepted before any subscription.
The provisions of Title II apply to the User who carries out a cloakroom or left-luggage activity. Those of Title III apply only to the User who carries out the valet activity.
Minimal Mode makes it possible to use the Solution without the Beneficiary having to provide its identity or contact details: the User activates only the fields it considers necessary. It does not rule out all processing of personal data.
Subscription to an Offer requires the User to hold an active Account beforehand, created under the conditions set out in the Terms of Use.
The Subscription is taken out online.
Any document sent to the User before its subscription, in particular a commercial proposal or a presentation of the offering, is provided for information purposes only. It constitutes neither a firm offer nor a commitment of either party, and does not amount to a subscription. Only completion of the online subscription process forms the contract relating to the Subscription. Special conditions granted by STASHME, in particular pricing conditions, are enforceable only if they appear in a Quote issued by STASHME and signed by the User.
Upon registration or from its Account, the User selects the Subscription plan it wishes to subscribe to from among those offered by STASHME, the characteristics and price of which are communicated to it before any validation.
The subscription is completed by acceptance of these Terms of Sale, prior to final validation of the order, and by the provision of a valid means of payment.
Such acceptance constitutes an electronic signature within the meaning of article 1367 of the French Civil Code, equivalent to a signature on a paper document. The User warrants that it has, personally or by delegation of authority, the capacity to bind the entity it represents in respect of this subscription.
The contract between STASHME and the User in respect of the Subscription is formed on the date of such acceptance.
STASHME keeps evidence of such acceptance, in particular the date and time, the version of the Terms of Sale accepted and the Account identifier.
STASHME confirms the subscription to the User by email; such confirmation is not a condition for the formation of the contract.
The Event Package is the subject of a Quote drawn up by STASHME at the User's request, specifying in particular the event concerned, its duration, the scope of the features made available, the Equipment, any Options included and the applicable price. Unless otherwise stipulated in the Quote, the Quote remains valid for thirty (30) days from its issue, after which it lapses and may no longer be accepted by the User.
The contract in respect of the Event Package is formed on the date on which the User signs the Quote; such signature may be electronic or handwritten and, in both cases, constitutes express acceptance of these Terms of Sale.
The User warrants that it has, personally or by delegation of authority, the capacity to bind the entity it represents in respect of the signed Quote.
The signed Quote and these Terms of Sale together constitute the entire agreement of the parties relating to the Event Package; in the event of any inconsistency between them, the provisions of the Quote prevail over those of the Terms of Sale on the points it expressly governs.
The Subscription gives access to the Solution in return for payment of a price set by STASHME, expressed exclusive of tax, with value added tax at the applicable rate in force being added upon invoicing.
The characteristics and price of the Subscription subscribed are brought to the User's attention before validation of its subscription and are subject to its express acceptance.
The price accepted by the User upon subscription remains applicable to it for the entire duration of the Subscription, subject to any subsequent change to the Price List.
In the event of a price change, STASHME informs the User in writing, in particular by email, at least thirty (30) days before it takes effect.
The new price takes effect upon expiry of the thirty (30) day notice period, unless the User terminates the Subscription before that date under the conditions of Article 9. The User's continued use of the Solution after the new price takes effect constitutes acceptance of it.
The price of the Event Package, for its part, is freely agreed between the parties in the Quote.
Depending on the Offer subscribed or the order placed, STASHME supplies the User with the Equipment necessary for the use of the Solution, under one of the following two regimes, specified for each item in the Quote or the Price List: sale (Purchased Equipment) or loan (Loaned Equipment).
In the absence of an express mention of sale, the Equipment is loaned and never becomes the property of the User.
The nature of the Equipment, the quantity supplied, its price or, where applicable, the deposit required are specified at the time of the order, in the Quote or in the Price List. STASHME may change the composition of the Equipment offered.
Purchased Equipment is invoiced at the price in the Price List in force on the date of the order. The risks of loss and damage pass to the User upon delivery. STASHME retains ownership of the Purchased Equipment until full payment of the price, principal and ancillary amounts; failing payment when due, it may demand its return, without prejudice to its other rights.
Loaned Equipment is entrusted to the User as an accessory to the Offer, for its duration, without specific consideration unless otherwise stipulated in the Price List or the Quote. It remains the property of STASHME. The User has custody of it from the time of delivery and bears the risks of loss, theft or damage, including by fortuitous event, until it is actually returned. The User uses it in accordance with its intended purpose and shall not assign it, pledge it as security, sublet it or make it available to a third party, other than for normal use by its Beneficiaries in the course of the service. STASHME may demand its early return in the event of suspension or termination of the Offer, or of breach by the User of its obligations. At the end of the Offer, for whatever reason, the User returns the Loaned Equipment at its own expense, in good working order, within fifteen (15) days. Failing return within that period, or in the event of loss or damage exceeding normal wear and tear, STASHME may invoice the User the replacement price shown in the Price List. The User remains solely liable to STASHME for the use of the Loaned Equipment by its staff and by the Beneficiaries, in particular for cards not returned by the latter.
STASHME grants no contractual warranty on Purchased Equipment other than those specified in the Quote or the Price List, without prejudice to the mandatory statutory warranties.
The User may subscribe to paid Options in addition to its Offer, in particular the sending of SMS messages to its Beneficiaries. The content of each Option, the number of SMS messages included in the Offer and the applicable prices, including those of additional SMS messages, are set out in the Price List or in the Quote. These prices may vary depending on the recipient's country.
The SMS messages included in the Offer are valid for the period it covers (one month for a Subscription, the duration of the event for an Event Package).
These Terms of Sale apply to the User for the entire duration of the Offer it has subscribed to.
The Subscription is entered into for an indefinite period from its subscription. It is tacitly renewed at each monthly due date, subject to the termination conditions set out herein.
The Event Package is entered into for the duration specified in the Quote accepted by the User, corresponding to the event for which it was subscribed. It terminates automatically upon expiry of that duration, under the conditions set out herein.
The Subscription is invoiced monthly, at the start of each monthly period, through the payment solution used by STASHME to collect its own invoices.
The User authorises STASHME to debit automatically, on each due date, the amount of the Subscription from the means of payment registered for that purpose in its Account.
The Event Package is invoiced in accordance with the terms specified in the Quote accepted by the User, in particular as regards the payment due date and any deposit required upon signature.
Failing payment when due, STASHME sends the User a formal notice in writing requiring it to remedy the situation within eight (8) days. Failing remedy within that period, STASHME may suspend the User's access to the Solution, without prejudice to the sums remaining due and to the late payment penalties applicable by operation of law, calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation plus ten percentage points, and to the fixed indemnity for recovery costs of forty (40) euros, as provided for by article L. 441-10 of the French Commercial Code.
The Subscription, entered into for an indefinite period, may be terminated at any time by the User from its Account or by contacting STASHME's customer service.
Termination takes effect at the end of the current monthly period. It does not give rise to any refund, even partial, of the period already begun.
STASHME may terminate the Subscription at any time, without having to give reasons, by written notice sent to the User subject to thirty (30) days' notice. During the notice period, STASHME continues to provide the Solution on the same terms, and the User continues to use it in accordance with the Terms of Use and the Terms of Sale. Termination takes effect upon expiry of the notice period.
STASHME may terminate the Subscription automatically, without compensation in the User's favour, in the event of breach by the User of a material obligation under these Terms of Sale or the Terms of Use that has not been remedied within fifteen (15) days following a formal notice that has remained unheeded, in particular in the event of non-payment.
Termination of the Subscription entails the User's loss of access to the Solution, without prejudice to the sums already due on the date of termination, and to the treatment of User Data as specified in the relevant article of the Terms of Use.
Termination of the Offer automatically ends the application of Titles II and III.
Unless otherwise stipulated in the Quote, the Event Package terminates automatically upon expiry of the period for which it was subscribed, without either party having to complete any termination formality.
If the User cancels the event before its end, the sums already paid to STASHME in respect of the Event Package remain vested in STASHME, unless otherwise expressly provided in the Quote.
If the event is postponed, the User informs STASHME as soon as possible; the parties then agree in writing on the conditions under which the initial Event Package is carried over to the new date or becomes the subject of a new Quote.
The User may terminate the Subscription or the Event Package automatically, without compensation, in the event of serious breach by STASHME of a material obligation under these Terms of Sale that has not been remedied within fifteen (15) days following a formal notice that has remained unheeded. STASHME then refunds the User, on a pro rata basis, for the period paid in advance and not used.
When the User activates the online payment feature, the sums owed by the Beneficiaries are paid through the Payment Provider and credited directly to the account opened in the User's name with the Payment Provider, without passing through STASHME. STASHME is at no time the depositary or manager of these funds; it merely provides the technical interface enabling the User to offer this payment method to its Beneficiaries.
The User is responsible for opening and maintaining its account with the Payment Provider, whose general terms and conditions it accepts and which alone govern its relationship with the Payment Provider, in particular as regards fees, payout times, refunds and payment disputes. STASHME is not a party to that relationship and cannot be held liable for any failure of the Payment Provider or for the unavailability of its service.
STASHME may receive remuneration based on the payment transactions carried out by means of the Solution (the "Commission"). Its rate, basis and collection terms are set by the Price List or the Quote.
Where applicable, the data recorded by the Solution relating to the number and amount of transactions carried out through it are binding between the parties for the calculation of the Commission, save for manifest error. If the User disputes the amount of Commission charged, it may request a detailed statement of the transactions concerned from STASHME.
It is recalled that the transaction receipts generated by the Solution are not invoices for tax purposes. It is the sole responsibility of the User to issue, to its own Beneficiaries or in the course of its activity, the accounting and tax documents required by the regulations applicable to it.
The User is solely responsible for the custody and security of the items entrusted to it by the Beneficiaries in the course of its cloakroom, left-luggage or valet parking activity, irrespective of the technical means made available to it by the Solution to track them.
It accordingly bears all the consequences arising from the loss, theft or damage of such items, and STASHME cannot be held liable in this respect.
STASHME exercises no control over the User's activity or over the items and vehicles entrusted to it. Use of the Solution neither modifies nor reduces the User's obligations or liability towards the Beneficiaries. The User is liable for its Authorised Persons as for itself.
The User carries out its activity in compliance with the regulations applicable to it, in particular in commercial, tax and accounting matters, including the declaration of income received through the use of the Solution. Where its situation so requires, it is the User's responsibility to use point-of-sale software certified in accordance with article 286, I, 3° bis of the French General Tax Code and the NF 525 standard, the Solution not being intended to replace such software.
The User represents and warrants that it holds, and undertakes to maintain for the entire duration of the Offer, the insurance necessary to cover the risks related to its activity, in particular professional civil liability insurance covering the items entrusted to it by the Beneficiaries. It provides evidence thereof upon first request from STASHME, within eight (8) days, by producing a valid insurance certificate. The Solution in no way constitutes a guarantee or insurance cover for the items entrusted by the Beneficiaries.
Under these Terms of Sale, STASHME is bound by a best-efforts obligation (obligation de moyens).
It guarantees neither any level of revenue, footfall or profitability for the User as a result of its use of the Solution, nor the absence of technical incidents affecting the settlement of payments under the conditions of Article 10, such settlement relying in part on services provided by the Payment Provider, with which STASHME has no involvement in accordance with Article 10.
STASHME may be held liable only for an act directly attributable to it in the performance of its financial and commercial obligations under these Terms of Sale, and only for the loss directly resulting therefrom. In any event, the following are excluded: any indirect loss, in particular any loss of revenue, customers or reputation, as well as any loss resulting from a failure of the Payment Provider, an event of force majeure, or a breach by the User of its own obligations under these Terms of Sale or the Terms of Use.
This limitation does not apply in the event of gross negligence or wilful misconduct by STASHME.
Subject to the foregoing, STASHME's total liability under these Terms of Sale, for all causes combined, may not exceed, depending on the Offer subscribed by the User: for the Subscription, the amount paid by the User in respect of the Subscription during the twelve (12) months preceding the event giving rise to the damage; for the Event Package, the total amount invoiced to the User under the relevant Quote.
This clause applies without prejudice to the liability clause in the Terms of Use, which governs the consequences of using the Solution independently of any financial or commercial aspect. The cap provided for in this article and that provided for in the Terms of Use are not cumulative: the higher one applies to all claims relating to the Solution.
The User indemnifies STASHME against any claim, demand for compensation, legal action or judgment brought by a Beneficiary, a third party or an authority, including an insurer subrogated to the rights of any of them, originating in the activity carried out by the User, its Authorised Persons or any person acting on its behalf, in particular in the event of damage to, loss or theft of an item, a vehicle or a key, or of return to an unauthorised person. This indemnity covers the judgments, damages and settlements charged to STASHME, as well as its defence costs, including lawyers' fees, provided they are reasonable and substantiated.
The User waives, on its own behalf and on behalf of its insurers, any recourse against STASHME in respect of damage covered, or which should have been covered, by the insurance taken out for its activity, except in the event of gross negligence or wilful misconduct by STASHME. It shall inform its insurers of this waiver.
This Title applies to the User who uses the Solution to operate a cloakroom, left-luggage or item deposit service. The User is the sole operator of this service and solely responsible for the custody of the items entrusted to it. STASHME makes the Solution available to it, to the exclusion of any custody, transport or handling service.
The User determines which items it agrees to take charge of. It draws up the list of prohibited or restricted items and informs the Beneficiary of it before the deposit. STASHME does not check the nature, value or condition of the items deposited and cannot be held liable for them.
The Digital Ticket is issued by the Solution at the time of deposit. It is a means of locating the deposit and proves neither the identity of its holder nor that the holder owns the items deposited. The User defines its return procedure and carries out the checks it deems necessary before handing over an item. In the event of loss, theft or sharing of the ticket, the User applies its procedure and informs the Beneficiary. STASHME plays no part in the return of items.
The User sets the period after which an item is considered unclaimed, as well as how it is to be dealt with, in compliance with the applicable regulations. The Solution makes it possible to record the status of the item, with a timestamp; it does not take the User's place in deciding how the item is dealt with.
The User is the Beneficiary's sole point of contact for any complaint relating to the custody, loss, damage or return of an item. STASHME is not a party to that relationship and is not required to handle complaints.
The User ensures that the conditions of use of the Digital Ticket are brought to the Beneficiary's attention before the ticket is generated. The User's insurance is governed by Article 11.
The data collected by the Solution at the time of deposit are limited to the fields that the User has activated. If no identity field is activated, the Solution operates in Minimal Mode.
This Title applies to the User who, by means of the Solution, carries out a valet activity, that is, taking charge of, driving, parking and returning vehicles or keys belonging to the Beneficiaries.
STASHME is a software publisher. It makes available to the User a tool for tracking the vehicles and keys entrusted to it, without intervening in its activity. STASHME is neither the depositary, custodian, driver, carrier, agent nor insurer of the vehicles, the keys or the items in them. It is not a party to the relationship between the User and the Beneficiaries, nor to the valet service contract concluded between them. The User remains in sole control of its organisation, teams and procedures.
The User is solely responsible for the custody, driving, parking and return of the vehicles, the keys and the items in them, as well as for any accident, loss event, theft, damage, offence or fine relating thereto, and STASHME cannot be held liable in this respect.
Without limiting Article 12.3, the User indemnifies STASHME against any claim, demand for compensation, legal action or judgment brought by a Beneficiary, a third party or an authority, including an insurer subrogated to the rights of any of them, originating in the valet activity carried out by the User, its employees, its subcontractors or any other person acting on its behalf, in particular in the event of damage to, loss or theft of a vehicle, a key or an item in it, of an accident, of an offence or of return to an unauthorised person.
The User represents and warrants that it holds insurance covering the custody and driving of vehicles, theft of and damage to them, as well as damage caused to third parties while they are being driven. Deductibles, limits and exclusions of cover remain the User's responsibility. It provides evidence thereof, at STASHME's request, within eight (8) days.
The User is responsible for obtaining all authorisations required for its activity, in particular for occupying and parking on the public highway or in any private place. It ensures that the persons driving the vehicles hold a valid driving licence, comply with the French Highway Code (Code de la route) and are covered by the insurance provided for in Article 14.5. It remains solely responsible for its Authorised Persons, including the subcontractors and service providers to which it entrusts all or part of its activity.
The Digital Ticket is a means of tracking and identifying the vehicle. It proves neither ownership of the vehicle nor the identity of the person presenting it. The User remains solely responsible for ensuring, before any return, that the person presenting themselves is the person who entrusted the vehicle or their agent, by means of the checks it deems appropriate, and for handing over the keys. STASHME does not guarantee that a person presenting a ticket or its QR code is its legitimate holder, and is not liable for any return to an unauthorised person, nor for the sharing, copying or theft of a ticket.
The User alone defines, under its own responsibility, the conditions of its valet service towards the Beneficiaries. It guarantees their lawfulness, in particular with regard to consumer law, and shall not include in them any exclusion or limitation of liability contrary to the applicable mandatory rules of public policy.
STASHME does not draft, approve or advise on these conditions: it merely makes available to the User the technical means of bringing them to the Beneficiaries' attention, in particular through a link separate from that of the conditions of use of the Solution.
The information relating to a vehicle recorded by means of the Solution, in particular the registration number, the photographs and the description of its condition, is provided as a management aid. STASHME guarantees neither its accuracy, nor its completeness, nor its evidential value. The User remains solely responsible for establishing, jointly with the Beneficiary, the condition of each vehicle when taking charge of it and when returning it, and for informing the Beneficiaries that such information is recorded.
The Solution is not guaranteed to be available at all times. The User puts in place and maintains a fallback procedure enabling it to continue taking charge of and returning vehicles in the event of total or partial unavailability of the Solution, including during a suspension. STASHME is not liable for the consequences of any unavailability on the User's activity, in particular waiting times or delays in returning vehicles.
STASHME may suspend the valet feature, without this constituting a breach on its part, in the event of breach by the User or of a manifest risk of unlawful use of the Solution, without notice in an emergency, provided that it informs the User as soon as possible. Such suspension has no effect on the User's obligations towards the Beneficiaries and third parties.
Order of precedence of contractual documents. In the event of inconsistency between the documents applicable to the relationship between STASHME and the User, the following order of precedence applies: first, any special conditions negotiated between the parties, in particular the Quote relating to an Event Package; second, these Terms of Sale; last, the Terms of Use, except for matters relating exclusively to access to and use of the Solution, for which the Terms of Use prevail in accordance with their specific purpose.
Exception for non-performance. In accordance with article 1219 of the French Civil Code, either party may refuse to perform its obligation, even if it is due, if the other party fails to perform its own and such failure is sufficiently serious. The party intending to rely on this exception notifies the other party of its intention in writing, specifying the failure observed; the suspension takes effect upon receipt of such notice and continues until the failure is remedied.
Application of the Terms of Sale over time. The Terms of Sale applicable to the User are those in force on the date of its subscription to the relevant Offer, subject to any amendment notified and having taken effect under the conditions set out in this article.
Entire agreement. These Terms of Sale, together with the Terms of Use and, where applicable, the applicable special conditions, constitute the entire agreement of the parties relating to their subject matter. They cancel and supersede any prior agreement, exchange or document, oral or written, relating to the same subject matter.
Commercial reference. Unless the User objects in writing to STASHME, STASHME may mention the User, in particular its name, trade name and logo, as a commercial reference in its communication materials, sales documentation and website, solely for the purpose of disclosing their contractual relationship. The User may withdraw this authorisation at any time, for the future, by written notice to STASHME.
Technical subcontracting. STASHME may use third-party service providers, in particular for the hosting and technical infrastructure of the Solution, to perform all or part of its obligations under these Terms of Sale. Such use does not affect STASHME's liability towards the User, STASHME remaining solely responsible for the performance of its obligations towards the User.
Force majeure. Neither the User nor STASHME shall be held liable if the performance of their financial or commercial obligations under these Terms of Sale is prevented by an event meeting the criteria of force majeure as defined by article 1218 of the French Civil Code. The party concerned informs the other as soon as possible.
Partial invalidity. The invalidity or unenforceability of any clause of these Terms of Sale, as established by a competent court, does not affect the validity of the other provisions, which continue to apply. In such a case, the parties shall endeavour to replace the clause set aside with a provision that best reflects its spirit.
No waiver. A party's tolerance of a breach by the other of its obligations, at any time whatsoever, shall not be construed as a waiver of its right to rely on that breach or on any other breach.
Evidence. The User accepts that electronic exchanges with STASHME and the data recorded by the Solution in connection with its use constitute admissible evidence between the parties.
Notices. Unless otherwise stipulated in these Terms of Sale, any notice required hereunder, in particular a formal notice or a termination for breach, is validly sent by email to the addresses provided by each party upon subscription or, where applicable, subsequently communicated in writing, or by registered letter with acknowledgement of receipt. It is deemed received on the date it is sent in the case of an email, and on the date of first presentation in the case of a registered letter. STASHME may be contacted at the following email address: contact@stashme.io.
Assignment. STASHME may assign or transfer, in whole or in part, the rights and obligations arising from these Terms of Sale, in particular in the context of a restructuring, merger, acquisition or sale of its business, provided that such transaction does not reduce the rights enjoyed by the User. The User may not assign or transfer its own rights and obligations without STASHME's prior written consent.
Amendment of the Terms of Sale. STASHME may amend these Terms of Sale at any time, in particular to take account of changes to its commercial offering or to the applicable legal and regulatory requirements. Any amendment is brought to the User's attention in writing at least thirty (30) days before it takes effect. The User's continued use of the Solution after the amended Terms of Sale take effect constitutes acceptance of them; otherwise, the User may terminate its Subscription under the conditions of Article 9.
Language. These Terms of Sale are drawn up in French; the French version prevails, including if a translation is made available.
Personal data. The processing of personal data is governed by the Terms of Use and the privacy policy. For Beneficiary data, the User is the data controller and STASHME the processor.
No exclusivity. These Terms of Sale do not entail any exclusivity, either in favour of the User or in favour of STASHME. The User remains free to use, alongside or instead of the Solution, any other solution of its choice. Likewise, STASHME remains free to market the Solution to any other User, including one carrying out an activity that competes with that of the User.
These Terms of Sale are governed by French law.
In the event of a dispute relating to their interpretation or performance, the parties shall endeavour to resolve it amicably. Failing agreement, the dispute shall be brought before the competent courts within the jurisdiction of Paris, including in the event of multiple defendants or third-party claims for indemnity.
